Terms of Service

1. Agreement to Terms

By accessing or using SilentGuard's website, browser extension, API, dashboard, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to that organization.

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

SilentGuard is a data protection platform that detects sensitive information in prompts sent to generative AI tools (such as ChatGPT, Claude, Gemini, Copilot, and others). The Service operates through browser extensions, API integrations, and a web-based dashboard.

Local-First Architecture

SilentGuard's core detection capabilities — including regex pattern matching and local LLM checks — run on the end user's device. Sensitive text segments are redacted or flagged before leaving the user's network. SilentGuard does not process, store, or transmit the content of user prompts to SilentGuard's servers unless explicitly configured otherwise by your organization's administrator.

3. Accounts

3.1 Registration

To use the Service, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Organization Accounts

If you create an account on behalf of an organization, you are responsible for managing user access, configuring policies, and ensuring that your organization's use of the Service complies with applicable laws and these Terms.

3.3 Account Security

You must notify SilentGuard immediately at support@silentguard.ai if you become aware of any unauthorized access to or use of your account.

4. Subscription Plans and Payment

4.1 Plans

SilentGuard offers subscription plans as described on our pricing page. Plans may include free trials, team plans, and enterprise plans. Features and usage limits vary by plan.

4.2 Free Trials

If you sign up for a free trial, you will have access to the Service for the trial period specified at sign-up. At the end of the trial, your access will convert to a paid subscription unless you cancel before the trial ends. No credit card is required for the trial unless otherwise stated.

4.3 Payment

Paid subscriptions are billed in advance on a monthly or annual basis, as selected at the time of purchase. All payments are processed securely through Stripe. SilentGuard does not store your credit card details.

4.4 Price Changes

SilentGuard may change subscription fees upon 30 days' written notice. Price changes take effect at the start of your next billing cycle. If you do not agree to the change, you may cancel your subscription before the new pricing takes effect.

4.5 Refunds

Subscription fees are non-refundable except where required by applicable law. If you cancel a subscription mid-cycle, you will retain access until the end of the current billing period.

4.6 Taxes

All fees are exclusive of applicable taxes. You are responsible for all taxes associated with your use of the Service, excluding taxes based on SilentGuard's net income.

5. Use of the Service

5.1 License Grant

Subject to these Terms, SilentGuard grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

5.2 Restrictions

You agree not to:

  • Copy, modify, adapt, translate, or create derivative works of the Service or any part thereof;
  • Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the Service, except to the extent expressly permitted by applicable law;
  • Sublicense, sell, resell, rent, lease, distribute, or transfer the Service or access thereto to any third party;
  • Use the Service to develop a competing product or service;
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Service;
  • Use the Service in any manner that violates applicable laws, regulations, or third-party rights;
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure;
  • Use automated means (bots, scrapers, crawlers) to access the Service except through SilentGuard's published APIs;
  • Transmit any viruses, malware, or other harmful code through the Service;
  • Use the Service to process, store, or transmit any content that is unlawful, defamatory, or infringing.

6. Acceptable Use Policy

This section sets out the rules governing acceptable use of the Service. Violation of this policy may result in suspension or termination of your account.

6.1 Permitted Use

The Service is intended for use by organizations to monitor and protect data flowing from their authorized users to generative AI tools. You may use the Service only for lawful purposes consistent with its intended function.

6.2 Prohibited Conduct

You may not use the Service to:

  • Monitor, intercept, or record the communications of individuals without appropriate legal authority, consent, or notice as required by applicable law;
  • Engage in surveillance that violates employee privacy rights under applicable labor, employment, or data protection laws;
  • Discriminate against or target specific individuals or groups based on protected characteristics;
  • Circumvent, disable, or interfere with the security features of any AI tool, website, or third-party service;
  • Collect, store, or process data in violation of applicable data protection laws (including GDPR, CCPA, HIPAA, PDPA, and others);
  • Use the audit trail or logging features to retaliate against employees or users;
  • Resell, redistribute, or share SilentGuard detection data or audit logs with unauthorized third parties;
  • Attempt to extract, harvest, or reverse engineer SilentGuard's detection models, algorithms, or training data;
  • Use the Service in a manner that imposes an unreasonable or disproportionate load on SilentGuard's infrastructure.

6.3 Your Responsibility

You are solely responsible for ensuring that your use of the Service complies with all applicable laws in the jurisdictions where you operate, including but not limited to data protection laws, employment laws, and electronic monitoring regulations. SilentGuard does not provide legal advice. You should consult your own legal counsel regarding your obligations.

6.4 Enforcement

SilentGuard reserves the right to investigate suspected violations of this Acceptable Use Policy and to suspend or terminate access for any user or organization found to be in violation, with or without notice depending on the severity of the violation.

7. Data and Privacy

You retain all rights to your data. SilentGuard's detection capabilities operate locally on end-user devices. The Service does not transmit prompt content to SilentGuard's servers. Only anonymized metadata is transmitted for analytics.

8. Intellectual Property

The Service, including all software, algorithms, models, designs, documentation, trademarks, and other intellectual property, is owned by SilentGuard and its licensors. These Terms do not grant you any rights to SilentGuard's intellectual property except the limited license in Section 5.1.

9. Third-Party Services

The Service may integrate with or operate alongside third-party AI tools and services (such as ChatGPT, Claude, Gemini, Copilot, and others). SilentGuard is not affiliated with, endorsed by, or responsible for the availability, performance, data practices, or terms of service of any third-party AI tool.

10. Warranties and Disclaimers

SilentGuard warrants that the Service will perform substantially in accordance with its documentation during the term of your subscription.

Important Disclaimer

EXCEPT FOR THE EXPRESS WARRANTY ABOVE, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." SILENTGUARD DOES NOT WARRANT THAT THE SERVICE WILL DETECT ALL SENSITIVE DATA, PREVENT ALL DATA LEAKAGE, OR OPERATE WITHOUT ERRORS OR INTERRUPTIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SILENTGUARD'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO SILENTGUARD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Term and Termination

These Terms are effective when you first access the Service and continue until terminated. You may terminate your account at any time through the dashboard or by contacting support.

Upon termination, your license to use the Service terminates immediately, and SilentGuard will make your data available for export for 30 days following termination.

13. General Provisions

Governing Law

These Terms are governed by and construed in accordance with the laws applicable in the Dubai International Financial Centre (DIFC), without regard to its conflict of laws provisions.

Dispute Resolution

Any dispute arising out of or relating to these Terms will first be attempted to be resolved through good-faith negotiation for a period of 30 days. If the dispute is not resolved through negotiation, it will be submitted to binding arbitration under the DIAC Arbitration Rules of the Dubai International Arbitration Centre.

Modifications

SilentGuard may modify these Terms at any time by posting the updated Terms on our website. Material changes will be communicated via email or through the Service at least 30 days before they take effect.
